摘　　要：在国际许可贸易中,经常会遇到一些引起谈判过程困难重重,并有可能导致许可合同无效的限制 性条款。然而,各国对于限制性条款的界定和法律调整却存在着很大分歧,尤其是在发达国家和 发展中国家之间。我国在长期的技术引进工作中,也十分重视限制性条款问题,并在立法中进行 了明确的规定。The restrictive clauses met in international licensing trade always give rise all kinds of difficulties of negotiation and maybe result in invalidity of contract. However, there are lots of disagreements among the countries, especially between the developed countries and the developing countries. Our country has also paid great attention to the restrictive clauses and given the definite regulations during the long - term technology import.
