摘　　要：公司登记的效力取决于公司登记的目的和性质 ;公司登记的主要目的在于公示公司信息 ,以维护交易安全和迅捷 ;公司登记就其性质而言是一种行政确认行为 ,行政确认行为的服务性体现了现代行政行为的时代特征 ;证明效力、公信效力、对抗效力构成公司登记效力的具体内容。The validity of company registration is decided by the purpose and character of company registration; The chief purpose of company registration is making the company information public to protect security and rapidity of transaction; The character of company registration is administrative confirmation, the service nature of administrative confirmation embodies times characteristic of modern administrative act; Proving validity, public confidence validity and resisting validity constitute concrete content of validity of company registration.
