摘　　要：目前所进行的新中国成立后的第四次民法典制订意义重大。在制订民法典的过程中 ,要合理解决立法的依据问题 ,其中最为重要的是国情的调查研究和法律规范移植的理论研究 ;要合理解决民法典立法的指导思想问题 ,用立法扩大私权的空间 ;要合理解决法典内部的逻辑和谐问题 ,在创新理论的指导下 ,创新体系和创新制度。The fourth legislation of civil code of new China that is being done has great legislative significance. In the process of making the Civil Code, The question of the merits for legislation should be reasonably settled, in which the research and investigation into the situation of China and the theoretical study on the transplant of legal norms are most important. The question of guidelines for the legislation of the Civil Code should be solved. Legislation shall be used to enlarge the space of private rights. The logic of the Code shall be reasonably dealt with. With the guidance of the theories of innovation, thc system and institutions shall be innovated.
