摘　　要：我国众多上市公司借鉴英美国家经验引入了独立董事制度。针对这一现象 ,从国际社会需求和国内公司治理现状两方面分析我国引入独立董事制度有重要的现实意义。在此基础之上 。A lot of Listed COmpanies in China introduce Independent director mechanism by drawing on the experiences from Britain and the United States.Aiming at this phenomenon,the article analyzes the realistic significance of introducing Independent director mechanism in the light of two aspects,that is ,the requirement of international society and the current situation of corporate governance in civil companies.On the basis of the analysis,the article also tries probing into perfecting Independent director mechanism.
