摘　　要：实行公司制是国有独资商业银行改革的必然趋势。在这一过程中,要完善产权制度,使国有独资商业银行(简称国有银行)成为真正的法人;推进国有银行债权重组,规范资产管理公司;完善国有银行公司治理结构;制定专门适用于金融机构的破产法,完善国有银行退出机制;建立存、贷款保险制度,降低存、贷款风险,使我国国有银行能从容面对激烈的国际竞争,走上良性发展的轨道。It is an essential trend to put the Corporation System into practice.The paper is concerned with the following legal discussions:Reform on its property right institution in the course of the Corporation System of State-owned Commercial banks.Credit recombination.Corporation governance structural exit system.Insurance of deposit and loan.
