摘　　要：本文主要以国有企业为基点分析了我国实施MBO的法律环境。首先,本文对MBO进行解释,考察了MBO在中国的现状及与国外经验的区别。其次,本文从MBO流程中收购主体、融资安排、中介机构、退出机制等角度审视了我国的法律环境,并提出了一些立法建议。最后,本文以综合的视角反思了MBO,强调了制度因素、资本市场、信用体系与法律制度的作用。The article analyzes the legal environment of MBO' appliance in China, mainly focusing on the state-owned enterprises. Firstly, the article explains the meaning of MBO and the difference between the China's current situation and the foreign experience. Secondly, the article investigates the legal situa-tion in subjects, financing, media and flowing - out of MBO' appliance. In addition, the article comes up with some legislative advice. Finally, through the comprehensive perspective, the article rethinks the fea-sibility of MBO, emphasizes the factors of regulation, the capital market, the credit system and the legal system.
