摘　　要：经济转轨的核心问题之一是重建企业制度 ,能否建立完善的公司治理制度将事关转轨的成败。在经济全球化的背景下 ,重建企业制度不再是一个简单的内部问题 ,它还必须有效把握世界各国公司治理制度变化的总体趋势对本国的影响与意义。本文从比较公司治理的角度 ,分析了有关全球化对各国公司治理制度演进的影响的两种不同观点 :融合论与不相容论 ,在此基础上 ,探讨了这些观点对转轨国家重建企业制度的启示意义。One of the key issues of economic transition is the restructuring of corporate institutions.The formation of perfect systems of corporate governance is crucial for the success of the economic transition.Against the backdrop of economic globalization,the restructuring of corporate institutions is no longer just a simple domestic matter for one country;rather it requires that the concerned people grasp the implications for their own country among the overall development trends of the global corporate governance system.By comparing corporate governance systems,this essay attempts to analyze two different viewpoints,namely,the theory of divergence and convergence,and how globalization influences the evolution of a country's corporate governance system.It further discusses the respective implications for transitional states to restructure their corporate institutions.
