摘　　要：委托代理问题是公司治理结构的核心问题。从委托代理理论出发,通过对国有企业委托代理关系特殊性的分析,提出改革国有资产管理体制是解决国有企业委托代理问题的关键。要完善国有企业的治理结构,必须积极推进国有资产管理体制的改革。Trust-agent is the key part of the governance structure of enterprises.Based on the theories of trust-agent and on the analysis of the partularity of trust-agent relationship in state-owned enterprises,the article points out that the reform of administrative system of state-owned capital is the key to the solutions to the problems of trust-agent in state-owned enterprises.It is of great necessity to promote the reform of administrative system of state-owned capital,if we want to perfect to governance stracture in state-owned enterpries.
