摘　　要：西方交易成本理论把可交易的主体谈判关系作为既定的逻辑前提。中国处在转轨阶段,可交易的主体谈判关系还没有形成,不可交易成为特殊现象,研究不可交易成本,是中国制度创新的关键。The theory of western transactional cost has a logic premise that the main bodies of negotiation are transactional. But China is in its shunt phase, and the transactional negotiation relationships between main bodies are yet to be formed. Non-transaction is a particular phenomenon. It is a key for the system innovation in China to research the cost of non-transaction.
