摘　　要：随着我国资本市场的发展,一些大股东受到利益的驱使通过掏空上市公司侵占中小股东利益的事件也开始涌现,在很大程度上阻碍了我国资本市场良好运行和发展的进程。所以,本文从研究大连实德掏空大元股份这一实际案例出发,从而进一步探索产生此类问题的原因,然后分析后果并提出相应的建议和对策。With the development of capital market in China,some large shareholders encroach on the interests of the minority shareholders by hollowing the listed company,which has hindered the process of the good operation and development of capital market. This paper explores the relevant causes,analyzes the consequences and puts forward the corresponding suggestions and countermeasures.
