摘　　要：有限责任是现代公司法制度的理论基石。在公司运作的实践中,有限责任制度由于"绝对化"色彩过于浓厚而造成了相当的弊害,经常被公司成员作为规避法律责任的一种工具。在对有限责任制度的缘起及涵蕴进行阐述的基础上,着重指出了这一制度的严重缺陷及不足,进而提出我国现行公司法应该借鉴发达国家的"刺破公司面纱"理论来对有限责任制度进行规制和救济,以确保公司债权人及其他利益主体的合法权益。act:[WT6BZ The present paper starts from the analysis of the origin and meanings of the system of limited liability. The analysis indicates that deficiency does exist in this system. Then the author proposes that we should use the theory from the developed country 'Piercing the corporation's veil' for reference to perfect our company law and to relieve the system of limited liability, so that it can ensure the rights and interests of the company's creditor and other benefits body.
