摘　　要：十六大后,我国利用外资发生了重大的战略转变,国家鼓励外资并购国有企业。文章就外资并购立法与WTO、规模经济与反垄断法、外资并购审查制度和外资并购的法律冲突等法律问题进行研究,提出了自己的看法。The sixteenth Congress of the Chinese Communist Party brought about some important strategic changes in the pattern of capital inflow. We see it necessary to look into the issues of legislation of foreign capital sponsored merger and acquisition and WTO, economy of scale and antitrust laws, supervision system over foreign capital sponsored merger and acquisition and some other legal problems.
