摘　　要：The Temporary Rule on Foreign Investors Merging and Acquiring Domestic Companies has been recently issued by the Ministry of Foreign Trade and Economic Cooperation, the State Administration of Taxation, the State Administration for Industry and Commerce and the State Administration of Foreign Exchange. The new rule is to come into effect on April 12.The new rule mapped out principles, procedures, examination and approval of international mergers and acquisitions and will provide practical legal guidelines for various forms of foreign investment.The new rule, together with the recently published other concemed rules, will lay down the legal framework for foreign mergers and acquisitions.The new rule aims to promote and regulate foreign investments in China, introduce advanced foreign technologies and management expertise, improve the allocation of resources, protect fair competition and safeguard national security.The Temporary Rule on Foreign Investors Merging and Acquiring Domestic Companies has been recently issued by the Ministry of Foreign Trade and Economic Cooperation, the State Administration of Taxation, the State Administration for Industry and Commerce and the State Administration of Foreign Exchange.
