摘　　要：我国大股东对中小股东侵害行为非常普遍 ,究其根源 ,上市公司中的一股独大、《公司法》对表决权的规定简单、现有表决权存在缺陷、中小股东法律意识淡漠是主要原因。目前当务之急是要在《公司法》上明确赋予小股东一定的权利 ,参考发达国家的经验做法 ,在法律上推行强制性累积投票权制度。In China, big shareholders often infringe upon the rights of middle and small shareholders. The main reasons are that the strong dominate the weak, the Law of Corporation is still imperfect in many aspects, including the right to vote and what's more, the middle and small shareholders have little knowledge of the related laws. Hence, it is essential to amend the Law of Corporation so as to let the minor shareholders enjoy more rights. We may as well introduce the relevant experiences of the western countries to enforce the accumulative voting system.
