摘　　要：本文首先通过建立理论模型 ,论证了企业、农户和政府三方的合作博弈是实现农业产业化的关键 ,然后应用农业产业化比较成功的塞飞亚集团公司的案例进一步阐述了这个道理。最后 ,从该成功的案例中引伸出三点基本的结论 :农业产业化成功的关键在于企业、农户和政府三方的合作博弈 ;发挥本地资源优势是农业产业化成功的基础 ;农业产业化为中国农村剩余劳动力转移提供了新的思路。The paper develops a model to analyze the key factors to agricultural industrialization on the base of game theory. Then it takes the experience of Sapphire Company as example to elaborate that cooperative game between firm,peasant households and government is the key to agricultural industrialization. It also points out that successful agricultural industrialization should be based on local resources;agricultural industrialization is a new way to transfer surplus labor forces in rural China.
