摘　　要：公司法学作为以调整特定经济组织的设立、治理结构、运营、变更、解散、终止等法律关系为对象的法律学科,其基本研究方法是经济分析的方法。从历史必然性和逻辑一致性两方面来看,经济分析是必要的。从公司法调整对象的经济性,公司法经济与公平两个世界观的统一性两方面看,经济分析具有可能性。公司法分析的具体方法是成本效益分析法和规范分析与实证分析相结合的方法。The article points out the company law is a law subject which modulates instauration,structure,operation,alteration,disbandment and termination of company,Its analytical methods is economic analvtical methods.On the one hand,it's suitable for us to say the economic analytical methods is needed for the study of company law based on the historical inevitability and the logistic consistency.On the other hand,we can get the reult that the economic analytical methods is possible for the study of company law from the discussions,i.e. the regulative objects of company law is of economic characteristics and the Weltanschauungs on economy and justice are of integrity in company law.The particular analytical methods of the study of company law is the cost-benefit analytical method and te coalescent of canonical analvtical method and positivism analytical method.
