摘 要:作为解决公司内部纠纷的一种手段,股东除名制度具有惩罚严重损害公司利益的股东,从而维护公司人合法性的制度价值。对于股东除名制度的概念、适用条件、适用程序等事项,我国学界的讨论相对较少。因此,深入分析学术理论研究和实践案例,借鉴域外相关立法司法实践,对完善和发展我国有限责任公司股东除名制度具有重大意义。我国《公司法》本身并未规定股东除名制度,《公司法司法解释(三)》第17条虽有涉及但规定过于简单,在司法实践的适用中仍存在不少争议性和不确定性。本文旨在通过分析股东除名制度与股东失权制度的区别,参考借鉴域外除名制度的构造,针对我国股东除名制度存在的问题,提出完善建议。As a means to solve the internal disputes of the company, the system of shareholder removal has the institutional value of punishing the shareholders who seriously damage the interests of the company, so as to maintain the compatibility of the company. There are relatively few discussions about the concept, applicable conditions and procedures of the system. Therefore, in-depth analysis of academic theoretical research and practical cases and reference to foreign relevant legislative and judicial practice is of great significance to improve and develop the system of shareholder delisting of limited liability companies in China. China’s Company Law itself does not stipulate the system of shareholder removal, although Article 17 of Judicial Interpretation of Company Law (III) is involved, the provision is too simple, and there are still many controversies and uncertainties in the application of judicial practice. This paper aims to analyze the difference between the system of shareholder removal and the system of shareholder loss of rights, reference the structure of the foreign system of shareholder removal, and put forward suggestions to improve the existing problems of the system of shareholder removal in China.
