摘　　要：独立董事的监督作用一直是学术界讨论的重点。在康美药业事件发生后,关于独立董事制度的讨论再次成为焦点,主要涉及独立性、激励机制、履职情况、责任环境和责任形式等一系列问题,引发了广泛的关注。总体来看,独立董事相关议题逐渐得到学术界的重视,特别是虚假陈述问题,它在独立董事责任问题中是一个非常经典的问题。The supervisory role of independent directors has been the focus of academic discussions. After the Kangmei Pharmaceutical incident, the discussion on the independent director system has once again become the focus, mainly involving a series of issues such as independence, incentive mechanism, performance of duties, responsibility environment and form of responsibility, which has aroused widespread attention. In general, the issues related to independent directors have gradually received attention from the academic community, especially the issue of misrepresentation, which is a very classic issue in the liability of independent directors.
