摘　　要：法定代表人制度诞生于我国经济体制转轨时期,公司法定代表人是指依照法律或公司章程规定代表公司法人行使职权的负责人,公司法定代表人代表公司权益,按照公司的意志行使公司权利,法定代表人在公司内部负责组织和领导生产经营活动,并对公司负责,对外代表公司,处理一切民事活动,公司法定代表人的功能、性质附有明显的中国特色,但是随着中国经济的快速发展,现行《公司法》已经不能满足市场的急切需求,需要我们重新对公司法定代表人的代表权做出研究。The legal representative system was born during the transition period of China’s economic system. The legal representative of a company refers to the person in charge who exercises powers on behalf of the company’s legal representative in accordance with the provisions of the law or the company’s articles of association. The legal representative of the company represents the rights and in-terests of the company and exercises company rights according to the company’s will. The legal representative is responsible for organizing and leading production and business activities within the company, and is responsible to the company, representing the company externally, and handling all civil activities. The functions and nature of a company’s legal representative have obvious Chinese characteristics, but with the rapid development of the Chinese economy, the current Company Law can no longer meet the urgent needs of the market, and we need to conduct a new study on the representative power of a company’s legal representative.
