A Study on the System of Shareholder Delisting in Limited Liability Companies

摘　　要：我国《中华人民共和国公司法》(以下简称《公司法》)对有限责任公司股东除名制度并没有进行规定,只是在《最高人民法院关于适用〈中华人民共和国公司法〉若干问题的规定(三)》(以下简称《公司法司法解释三》)第十七条规定了股东未履行出资义务或者全部抽逃出资可以对其除名,此外再无相关具体规定,在司法实践上造成了困扰。本文目的在于完善现行法律对股东除名制度亟需解决的问题。文章通过分析股东除名司法实践案件中公司章程对股东除名的效力、股东除名前置程序、股东除名表决方式以及股东除名确认之诉的不同认定,并提出明确公司章程对于股东除名的效力、明确股东除名的程序和表决方式以及由股东除名确认之诉向股东除名之诉的转变建议。The Company Law of the People’s Republic of China (hereinafter referred to as the “Company Law”) does not stipulate the delisting system of shareholders of limited liability companies. It is only stipulated in Article 17 of the Provisions of the Supreme People’s Court on Several Issues Concerning the Application of the Company Law of the People’s Republic of China (III) (hereinafter referred to as the “Judicial Interpretation III of the Company Law”) that shareholders may be delisted if they fail to perform their capital contribution obligations or withdraw all their capital contributions. In addition, there are no specific regulations that have caused difficulties in judicial practice. The purpose of this article is to improve the current legal system for shareholder delisting, which urgently needs to be addressed. The article analyzes the effectiveness of the company’s articles of association on shareholder delisting in judicial practice cases, the pre-procedure for shareholder delisting, the voting methods for shareholder delisting, and the different determinations of shareholder delisting confirmation lawsuits. It also proposes suggestions for clarifying the effectiveness of the company’s articles of association on shareholder delisting, clarifying the procedures and voting methods for shareholder delisting, and transforming from shareholder delisting confirmation lawsuits to shareholder delisting lawsuits.
