摘　　要：独立董事因其特定的身份在完善现代公司治理中发挥了必不可少的作用 ,有效制衡了控股股东和监督了经营者 ,减少了内部人控制和大股东操纵。但是 ,客观条件的制约和独立董事制度理论上的缺陷 ,其作用的发挥也受到一定程度的限制。因而对独立董事制度的作用应客观评价 。Independent directors play an important role in the corporate governance of modern companies, which can comtrol the shareholders and supervise the managers and protect the benefit of stockholders. The Independent director system should be evaluated objectively and considered reaonably because of the limitations of objective factors and disadvantages of this system.
