“德法兼治”是现代公司治理的必由之路

摘　　要：现代公司治理越来越成为一个世界性关注的课题。在市场经济是法治经济观念的影响下,"法治"在公司治理中的功能越来越强,相对而言,"德治"的作用却日渐被人忽略。而道德规范是对法治失灵最好的补充机制。在现代公司治理中,应当走出几个常见的认识误区,实行"德法兼治",形成德法并举、互为补充的公司治理机制。Under the influence of the concept that market economy is the economy of rule of law, rule of law is being strengthened increasingly in the administrating modern companies while rule of law is overlooked. Moral standards are a good supplement to rule of law. In administering modern companies, it is necessary to institute the managing mechanism of putting 'rule of law and virtue' into practice, and one complementing the other.
