摘　　要：本文从分析流通企业迅速实施并购重组的内因和外因两个方面入手,从整合、资金、信息不对称三个方面分析了流通企业并购过程中存在的风险,并对如何避免风险提出了一些可供参考的建议。Through analysing inside and outside cause of circulation enterprise's M&A, conformity, fund and information asymmetry, it analyses the risks of circulation enterprise's during its M&A and puts forward some reference suggestions on how to avoid the risks.
