摘　　要：在对现有相关治理绩效文献评述的基础上,界定了公司治理行为与治理绩效的内涵,并对治理行为与治理绩效的关系以及治理绩效的形成机理进行了分析,基于公司治理战略行为与控制行为的视角,构建了包括财务绩效和非财务绩效指标的公司治理绩效的评估指标,为上市公司治理绩效评价以及进行公司治理的经验研究提供了理论依据。This paper defines the conception of corporate governance behavior and performance on the basis of literature review of the governance performance appraisal in recent research;and analyses the relationship between governance behavior and governance performance.This paper establishes the appraising index of strategic behavior performance and control behavior performance that include financial and non-financial performance index based on corporate governance strategic behavior and control behavior,which can supply the theoretical basis for governance performance appraisal in listed companies and empirical research of corporate governance.
