摘　　要：如今,国家出资企业高管薪酬制度不仅是公司治理的重要内容,而且也成为社会各界高度关注的热点话题,有关规范和约束国企高管薪酬管理的呼声不断。即使如此,高管薪酬违规发放甚至涉嫌职务犯罪的现象却屡见不鲜,在造成国有资产遭受流失的同时,也引发了收入分配不公等社会问题。Nowdays, senior managers compensation of state-controlled and joint-stock companies is not only the important part of corporate governance, but also the social hot issue. The public wants to see a more reasonable system of the senior managers compensation. However, many corruption crimes happened in this field,which cause the loss of the state-owned asset and the problem of unfair distribution.
