摘　　要：在企业法人治理结构中，由于对企业经营者行为的制衡机制尚不健全，职业化经理市场尚未形成，企业内部和外部有效约束力不足。如何选择企业经营者，并发挥其经营才能，就成为决定国有企业改革是否成功的关键因素。为此，本文从国有企业经营者行为分析入手，对企业经营者应具备的条件和如何选择企业经营者等问题进行分析与探讨。in legal administration structrre of enterprise ,balanced mechanism of manager behavior in enterprise is not prefect and occupation manager market have not been formed. How to choose manager of enterprise and to develop his capability becomes one of main factors to decide whether state-owned enterprise reform is successful.Therefore,on the basis of analysis of present manager behavior in state-owned enterprise.The article researches what person becomes manager and how we choose manager.Finally,put up strategy.
