摘　　要：Comtemporary corporate institution building requires the innovation of corporate governance of the SOEs, which in turn discards the logic of " shareholders above all " hitherto guiding the SOE reform process, so as to realize the joint governance which accomodates both the actual Chinese situation and the international treand. The difference between the two is that the goal of the enterprise is to serve all the related interest groups instead of the optimization of the interests of the shareholders.
