论大型集团公司的治理结构模式

摘　　要：在全面分析发达国家大型集团公司治理结构模式的基础上,对中国国企改制后形成的大型集团公司及其子公司的治理结构模式进行了全面的论述,提出了大型集团公司实行经营阶层相对主导型治理结构模式、集团公司所属的子公司实行股东决策相对主导型的治理结构模式、子公司所属的小型企业实行共同决策主导型的治理结构模式。On the basis of the overall analysis on governing structure modes of super corporations of developed countries, this article expounds governing structure modes of super corporations and their subsidiaries formed after the system reform of state-controlled enterprises of China, including a top management dominated goverming structure mode available for the state to employ in its super corporations, a shareholder decision-making dominated model available for a super corporation to adopt in its subsidiaries and a joint decision-making dominated mode available for a subsidiary to govern its subordinate entities.
