完善民办高校法人治理结构的实践与探索——基于三江学院的个案分析

摘　　要：实行"理(董)事会领导下的校长负责制",是我国当前民办高校较为通行的内部法人治理模式。能否坚持并完善这一法人治理制度,不仅关系到民办高校能否进行科学决策和有效管理,也关系到其能否正常运行和健康发展。本文从实践角度,对三江学院在构建和完善法人治理结构中的具体做法进行全面阐述,并从个案出发,对我国当前民办高校法人治理制度建设的关键环节及存在问题进行理性思考,结合实际,提出完善民办高校法人治理结构的对策建议。The "system of president responsibility under the leadership of director board" is widely practiced as an internal legal person administrative mode.The sustainment and perfection of such a system has much to do with both the scientific decision making and effective management and the normal operation and healthy development of private tertiary institutions.The present paper deals with our practices in constructing and perfecting legal person administrative system in Sanjiang College,and with this case study,further discusses the key links and existing problems in the accomplishment of legal person administrative systems in private tertiary institutions in China,and finally offers our countermeasures and policy suggestions.
