摘　　要：董事制度是公司治理中的一个主要方面,要完善董事制度,首先必须处理好董事行使权利的问题。本文围绕一般董事个人享有的权利、独立董事权利的界定、对董事长权利的制约、董事通过董事会行使的权利等四个方面对公司董事的权利进行了分析,并对我国公司董事的权利与其他国家进行了比较。Director system is a major aspect of corporate governance. To improve director system, the issue of exercising the director rights must be handled properly in the first place. In China, the fact that a director does not know how to exercise his rights is a frequent occurrence. This article centers round four dimensions to analyze the director' s rights, and it compares the Chinese director's rights with the foreign director s rights. Hopefully, this article can help the persons concerned understand more about categories of the director's rights and offer a reference to the revision of 'Corporation Law' as well as the making of relevant statutes.
