摘　　要：基于契约合作的技术外包是一种新型的民营高科技企业发展模式。这种模式以技术创新为载体,通过民营资本与知识资本相结合,从而达到资源互补、以小博大的效应;这种模式在一定程度上降低了技术风险和市场风险,对促进整个社会的科技成果转化起到了一定作用。最后讨论了该模式进行运作的前提条件即创新的融资环境对企业的支持;设计一个合理的内部激励机制来防范道德风险以及确定正确的企业发展战略等。This paper introduces a new kind of civil operated hi-tech firm's development model—based on contracting cooperation, which can be popularized extensively. The model takes technological innovation as the carrier to combine civil operated capital and knowledge together closely. Thus it realizes mutual cooperation and reducing market risk and technology risk, which finally promote technology change of the whole society to some extent. According to the practice the paper also points out the preconditions of the model's operation. Firstly the innovative financial circumstance is the powerful support. Then the firms should pay attention to the ethics risk: make up a set of complete interior pay scheme such as stock options to make sure that the intellectuals have high returns in case the cooperation fails. Finally it is important for the firm to work out correct development strategy.
