摘 要:为了遵守中国加入WTO的承诺,中国政府根据WTO规则的要求以及产业结构调整的需要,国有股在一些产业逐渐放弃控股地位,控股权政策的改变直接影响在华设立合资企业的跨国公司技术转移的决策,结合国内学者的实证研究结果,当跨国公司在华设立企业是独资性质而不是合资企业时,跨国公司在华技术溢出的效应是极其有限的。合资企业是中方获取对方知识的极其重要来源之一,特别是当跨国公司和中方伙伴在合资企业内设立研发中心时,这种技术来源重要性尤其突出。提出外资股权政策调整对合资企业冲击度的概念,并构建相关模型,得出结论:中方合作伙伴的互补性资产的质量及动态发展趋势、合作伙伴吸收能力的差异以及中方合资伙伴柔性战略等变量影响跨国公司技术转移决策,为了减弱外资股权政策调整对中方合作伙伴的获取技术能力的冲击,中方合作伙伴应善于动态调整以上变量以利于吸收跨国公司的创新成果。To abide by undertakings of China to join WTO, China national share will gradually give up controlling right in some industries. This policy change will directly affect technology transferring decision of MNC that have established joint (venture) in China. Integrating empirical research made by China scholar: when MNC establish subsidiary company in China, not joint venture with China partner, technology spill over of MNC's subsidiary company is very limited. So joint venture is espically important source for China partner to acquire external technology as this joint venture has its own R/D center. (This) paper puts forward concept of impact degree caused by policy change of foreign capital's share right. Related model is constructed. The conclusion is that variables of China partner's complementary asset's quality & its dynamic development (trend,) difference between partner's absorptive capacity and flexibility of China partner's strategy affect MNC's technology transferring decision-making. To weaken impact on China partner acquiring external technology caused by policy change of foreign capital's share right, China partner ought to be good at adjusting above variables so as to absorb MNC's innovation.
