摘　　要：完善的法人治理结构是国有企业改革和现代企业制度的核心内容。目前,我国国有企业的法人治理结构存在很多问题。诸如,股权结构不合理,股东会、董事会、监事会关系模糊不清,激励与约束不足等等,针对上述问题,国有企业应建立完善的改进措施。Oerfect law person ruling structure is the key content of state-owned enterprise's reform and modern enterprise system. Now there exit many problems in the law person ruling structure, such as irrational stock rights, the ambiguous relationship of general meetings and board of directors, the inadequate encouragement and restraint.
