摘　　要：以我国上市公司发生的并购事件为研究对象,分析了目前我国上市公司并购的特点和动因,并以我国沪深两市的46家电力板块上市公司为样本,通过并购前后的财务数据比较,并购前后企业的内外部环境及其自身实力的分析,揭示出并购对电力板块上市公司业绩的影响,最后对通过并购提升上市公司业绩的因素进行了分析.The article studies the mergers of the listed companies in China. First, it analyzes the characteristics, motives and categories of the mergers. Then, taking 46 listed companies in electric power industry in Shenzhen and Shanghai as examples, it reveals the impact of mergers on the performance of listed companies in China through the comparison of the financial statistics before and after the merger, coupled with the analysis of the internal & external environment and the strength of the companies themselves before and after the merger. Finally, it gives an analysis of the factors which impede the improvement of the operation of listed companies through merger.
