摘　　要：一般企业法学理论认为 ,企业的成员团体性是其获得法律人格的基础 ,企业的成员责任有限性是其获得法律人格的特征 ,但企业法人人格和成员有限责任的法律目的性却对此提出了异议。According to the generally accepted legal theory, it is a foundation for the member organization of the enterprise to get the juristic personality, and it is a characteristic for the members' limited responsibility of the enterprises to get the juristic personality. But the legal purpose of juristic personality of the enterprises and the enterprise members' limited responsibility hope to revise the above-mentioned situation.
