摘　　要：我国应否建立外部董事制度 ,目前对此众说纷纭。本文从对美国公司法中外部董事制度的利弊分析上入手 ,同时结合我国实际情况指出 :外部董事这种公司内部监督机制的引入是有利于完善我国公司监督机制的有效手段之一。Whether setting up outside directors in company law is a very controversial subject in our country.This article analyses the advantages and disadvantages of outside directors in US corporation law,and combining these with the situation in our country,it points out that introducing outside directors system to our country is helpful to improve the internal supervision in a corporation.
