摘　　要：管理层收购(MBO)是西方国家改造企业产权的一种有效方式。本文对国有企业改革引入MBO进行了初步的考察,同时结合MBO的特点,从法律层面、融资渠道、中介机构等方面分析我国国有企业改革引入MBO所面临的困境,并提出了相应的建议。MBO is a valid measure of transforming property rights in enterprises in western countries. This article makes a basic study on introducing MBO in reforming of state-owned enterprises; furthermore, in accordance with the characters of MBO, from the legal policy, the way of finance, and intermediary body etc., the article also analyzes the plight in our introducing MBO in national enterprises, and makes some according suggestions.
