论不当职务行为的个人连带责任

摘　　要：对于不当职务行为的民事责任分配存在着不同的学说和立法例。采行为人负独立民事责任的立法例,既不利于保障交易安全,保护善意第三人的利益,也不利于调动和提高行为人的工作积极性和创造性。采行为人无民事责任的立法例,既弱化了行为人的责任感,同样也不利于切实保护第三人的利益。建议改革我国现行相关规定,确立不当职务行为的个人连带民事责任制度。There are different viewpoints and legislations on civil responsibility for unfit professional actions.According to our country's provisions at presen t,legal person and other organization should be responsible for professional act ions,including unfit professional actions,which have been done by its legal repr esentative and other staff and workers.This kind of system has many defects.It i s suggested that present provisions should be reformed,and a system should be en acted,which demands the person to shoulder joint and several liability individua lly for unfit professional actions they have done.
