摘　　要：随着现代企业制度在我国的逐步实施和完善,公司制是现代企业制度一种有效组织形式。公司内部监督机制中如何避免监事会与独立董事职能重叠和功能冲突,对二者职能定位是至关重要的。Along with the gradual practice and perfection of our country′s mo de rn enterprise system, the company system is an effective form of the modern ente rprise system.In the internal supervision mechanism of enterprise, how to ovoid the functional duplication and contradiction between the board of supervisors an d the independent directors is very important for the function orientation of th e two sizes.
