摘　　要：通过对独立董事制度的发展以及实施过程中存在问题的剖析,对完善独立董事制度与企业经营者行为约束机制进行了积极的探索。Perfect independent board director system and constraint system on management behavior are actively explored in this paper through analysis of the development of independent board director system and the problems emerged in the implementation process.
