摘　　要：经营者股票期权是一种有效的长期激励机制 ,已在许多国家的上市公司得到成功实践和推广。目前我国的上市公司 (其中大多数是大型国企 )对经营者股票期权表现出浓厚兴趣。从股票期权的产生和特点看 。Executive stock option is an effective and long-term encouraging mechanism, which has been actualized and extended successfully by listed companies in many countries. At present,our listed Companies (among them mostly are large state-owned enterprises) show great interest in Executive Stack options. The author of this paper discusses its producing and peculiarity,then studies further its necessity for listed companies in carrying executive stock options into effect.
