摘　　要：本文从一个新的视角,即合约理论的视角,讨论了国有企业的改革问题,把改革前的国有企业看作是一组"计划"合约,改革的过程就是从"计划"合约走向市场合约,即分别从职工的劳动合约、出资人的产权合约、企业家的激励合约等方面,讨论了如何终结原来的"计划"合约,构建市场合约。From a new view, that is, the aspect of contract theory, we have, in this paper, discussed the reform of enterprises owned by the state,taking the national enterprises before the reform as a group of'planned' contracts, the process of reform as going to market contracts, in other words, we have, respectively from the facets of staff's labor contracts, investors' equity ownership, and enterprisers' motivation contracts, thrashed out how to terminate the original 'planned' contracts and draw up market contracts.
