摘　　要：在上市公司中引入独立董事制度,完善公司治理结构,是目前公司法研讨的热点问题。证监会在法律上 已强制在上市公司中实行独立董事制度,但独立董事制度在上市公司的实行却存在着种种困难。The system of independent-director adopted in the public companies to perfect the management structure of company is a hot spot in studying the company law nowadays . China Security Supervisory Committee has already forced the public companies to put it into effect in the law,but there are all kinds of difficulties to carry this system out in China.
