摘　　要：作为两种典型的公司治理模式之一,日本公司治理模式随着泡沫经济萧条而陷入困境,其弊端逐步显露。目前日本国内正在全面推进公司治理改革。分析日本公司治理结构的特点、问题以及改革的方向,总地看,日本的公司治理模式虽在形式上是向美式标准靠拢,内容上趋向监管分离,但在具体模式上则呈多样化发展趋势。As one of the two typical corporate governance modes, the Japanese type of corporate governance mode has been bogged down in plight with the collapse of bubble economy, gradually revealing its defects. As a result, Japan is now engaged in a general campaign to reform its corporate governance system. In the analysis provided in this paper of the characteristics, problems and reform directions of Japan’s corporate governance structure, Japan’s corporate governance pattern is seen to be developing towards diversification in terms of specific content, although formally it has chiefly adopted American standards and shows signs of separating supervision and management.
