摘　　要：本文回顾了国有企业改革的历程;探索性地对西方现代股份制企业治理结构进行了剖析及修正;佐证了MBO对改善国有中小企业治理结构的重要性;最后对国有中小企业治理结构的进一步完善进行了简单的展望。This paper recalls of the reform of the SMEs; tries t o modify the traditional model of the corporate governance of share-holding enterp rises; proves that it is a good way to perfect the governance of the SMEs with M BO; at last,We give some open question on the corporate governance of the SMEs.
