摘　　要：在现代公司治理结构中,起核心作用的是董事会。由于董事会既是联结股东和经理层的桥梁,又是公司决策的核心,因此建立一个规范有效的董事会是强化公司治理结构的前提。文章分析了我国上市公司董事会的现状及其原因,提出了优化董事会结构、完善董事会建设,发挥董事会作用和提高董事会运作效率的一些措施。The board of directors plays a core role in the modern corporate governance construction. The board of directors is the bridge that links the shareholders and the managers, and it is also the core of the company decision, so it is initial to establish an effective board of directors to strengthen the corporate governance construction. The article analyses the present condition and the reason of the issued company of China, and puts forward some measures to improve the structure of the board of directors,to strengthen and improve its running efficiency.
