摘　　要：我国的国有企业产权改革目前正处于攻坚阶段,在深层面临着许多挑战和障碍。其中MBO过程中国有资产的流失由于其强烈的社会敏感性而成为公众瞩目的焦点。而国有资产流失很大程度上是由于监管体系及法规体系的缺乏,所以要在中国特定的环境中寻求适合当前国情的MBO,而其中的关键就是完善相关的法规。The reformation of national enterprises is performing laboriously, and confronts with much challenges and difficulties. Gradually, the loss of national assets becomes the focus of the public attention in the process of MBO. It's main reason is the absence of supervision and legislation system. In the national enterprises reformation, the most available countermeasure is to pursue the convenient way of MBO, and to strengthen interrelated supervision and management.
