我国企业跨国并购战略模式研究

摘　　要：本文提出资产组合战略模式和核心能力战略模式,是企业跨国并购两大主要战略模式。中国的跨国并购企业要在海外的并购中取得成功,一定要正确认清两大主要战略模式之间的关系。借鉴历史上企业跨国并购的经验,再结合我国企业目前种种特点,面向国际市场建立创新机制。把破坏性创新DI(DestructiveInnovation)放在企业核心战略的高度加以把握,对各种资源进行综合利用开发与整合,培育自己的核心竞争能力。围绕核心能力实施多元化经营,我国企业开展多元化经营的跨国并购,宜走主导型和关联型之路。The paper puts up two main strategic modes of Chinese enterprises' CBM&A including the property combination strategic mode, the core ability strategic mode ,and points out that the following conditions can make Chinese enterprises' CBM&A a success. A study must be made on the relationships of two strategic modes , on the lessons of Canadian, American and Finland enter- prises' CBM&A,and on the characateristics of Chinese enterprises; A study on building innovation system that DI should be put on a crucial level,on comprehen sionally exploration and integration of all kinds of resources, and on the formation of our own core com- petitition.By the above analyses, a conclusion is made that Chinese enterprises' CBM&A with diversificational management should choose the roadline that core ability plays a leading role and the items runned have a relevance to each other.
