摘　　要：以科斯为代表的产权学派通过对生产的制度结构分析得出一个核心论点:产权明晰是企业绩效的关键或决定因素,产权明晰即产权法律归属上的明确界定和产权的有效率配置及产权结构上的优化配置。文章结合黑龙江省国企改革的现状及其模式选择,提出黑龙江省国有企业改革面临产权制度模式的重新选择、完善企业治理结构及管理创新等问题。School of property right, represented by R. Corse, analyzes the systematic structure of production and reaches a conclusion： a clear property right is the key or decisive factor in the efficiency of an enterprise, that is to say, a clear property right means a clear demarcation according to property law, an efficient distribution of property right and an optimizing distribution of the structure of property right. Concerning the present situation of reform of the state- owned enterprises in Heilongjiang Province and their choice of a pattern, the article proposes that those stated - owned enterprises in Heilongjiang Province are facing the re - choice of the pattern of the system of property rights, the imorovement of the govemance structure of the enterprise and the management innovations.
