摘　　要：随着市场经济的发展,股票期权作为一种新的薪酬制度已在我国一些试点企业开始实施,但存在着许多问题.本文表述了股票期权的概念,并以武汉国有资产经营公司期股权模式为案例,指出存在的缺陷.并将武汉期股权模式与国外股票期权模式进行对比,寻找差异.在以上论证的基础上指出在我国各种配套环境还不完善的条件下不宜大范围的实施股票期权制度,并对我国的股票期权模式制度提出了几点建议.With the development of marcket-directed economy, stock as the new salary system has been brought into effect in some pilot corporation. But some of them are not real stock but virtual stock. The paper introduces the stock system briefly and analyzes the difference between Wuhan and offshore stock system. There are some problems about our nation＇s stock system in the course of operation. Some proposals are brought forward by the authors.
